Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Gradus platform operated by Gradus Pty Ltd ("Gradus", "we", "us", or "our"). By accessing or using our website, platform, or related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Acceptance of Terms
By accessing or using Gradus, you confirm that you are at least 18 years old (or have parental/guardian consent if under 18) and capable of entering into a binding agreement. Your continued use of the Service constitutes acceptance of these Terms, as updated from time to time.
2. Nature of Service
Gradus provides an AI-powered centralised graduate marketplace that connects students and employers in an anonymised, bias-minimised environment. Gradus is not an employment agency or recruiter and does not make hiring decisions. All hiring activity occurs independently between students and employers outside the platform.
3. Use Licence
Gradus grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal or internal business purposes in accordance with these Terms.
You must not:
- Modify, copy, distribute, or create derivative works of platform materials;
- Use the Service for unlawful or misleading purposes;
- Attempt to decompile, reverse engineer, or access source code;
- Circumvent or breach any platform security or access controls;
- Remove proprietary notices or Gradus branding.
4. User Accounts
When creating an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Gradus reserves the right to suspend or terminate accounts that are incomplete, inaccurate, or suspected of unauthorised activity.
5. Student Users
By using Gradus as a student or graduate, you agree to:
- Provide truthful and accurate information in all submissions and interviews;
- Use the platform solely for genuine job-seeking or career-development purposes;
- Respect employer confidentiality and intellectual property;
- Conduct yourself professionally and ethically in all communications.
Gradus may remove any content or suspend any user account that violates these principles.
6. Employer Users
By using Gradus as an employer or organisation, you agree to:
- Use the Service to search, review, and unlock candidates directly (not to post job advertisements);
- Comply with all applicable employment, anti-discrimination, and privacy laws;
- Use candidate data solely for legitimate recruitment purposes and maintain confidentiality of all student information;
- Pay all applicable fees promptly at the time of purchase through the platform's secure payment system;
- Refrain from using Gradus data to build, train, or enhance any competing services.
Gradus retains the right to revoke access if misuse or breach occurs.
7. Referral Programs
Participation in the Student Referral Program and Employer Referral Program is governed by the Referral Program Terms, available on our website. Commissions are only paid for verified referrals that result in confirmed hires made in accordance with Gradus policies. Gradus reserves the right to verify eligibility, withhold or cancel commissions in cases of misuse or fraud.
8. Attribution Window
When an employer unlocks a candidate on the Gradus platform, they agree to a 12-month attribution window. During this period, if the employer hires that candidate (regardless of whether they were subsequently referred by another party or the candidate applies directly through other channels), the employer must report the hire on Gradus and use a token to remove the candidate from the database. Initial discovery through Gradus takes precedence.
9. Fees and Payment
Employers agree to pay all applicable fees associated with the use of Gradus, including token purchases. Tokens provide access to the platform and are used to report hires and remove candidates from the database. All payments are processed instantly and securely via Stripe at the time of purchase. Gradus does not issue invoices or allow deferred payments. Because payments are completed instantly, late or missed payments do not apply. All fees are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. Refunds apply only in circumstances expressly outlined in the employer or token agreement (e.g., unused tokens refunded at year-end).
10. Intellectual Property
All content, design, software, trademarks, and intellectual property on the Gradus platform remain the exclusive property of Gradus Pty Ltd or its licensors. You are granted no ownership rights except as expressly set out in these Terms. Use of Gradus trademarks, branding, or proprietary technology requires prior written consent.
11. Data and Privacy
Use of the Service is also governed by our Privacy Policy (available on the website). By using Gradus, you consent to our processing of data (including anonymised and aggregated data) for platform improvement, research, and reporting purposes. Gradus complies with the Australian Privacy Principles (APPs) and does not disclose personally identifiable information (PII) to employers until a student profile is explicitly unlocked.
12. Termination
Gradus may suspend or terminate your access to the Service immediately, with or without notice, if you breach these Terms, misuse the platform, or engage in conduct detrimental to other users. Upon termination, all rights and licences granted to you will cease immediately.
13. Limitation of Liability
To the maximum extent permitted by law:
- Gradus provides the Service on an "as-is" and "as-available" basis;
- Gradus, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising out of or related to your use or inability to use the Service;
- Gradus' total liability for any claim shall not exceed the total amount paid by you (if any) in the preceding twelve (12) months.
Nothing in these Terms excludes liability where it cannot be lawfully excluded under Australian Consumer Law.
14. Indemnification
You agree to indemnify and hold harmless Gradus, its officers, directors, employees, and agents from any claims, liabilities, losses, or damages arising from your misuse of the Service or breach of these Terms.
15. Governing Law
These Terms are governed by the laws of South Australia, Australia, and any disputes will be subject to the exclusive jurisdiction of the courts of South Australia.
16. Amendments
Gradus may update these Terms at any time by posting the revised version on this page. Material changes will be highlighted by updating the "Last Updated" date or through direct notice to registered users. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
